FIRST AMENDMENT TO <br />OFFSITE IMPROVEMENT AGREEMENT <br />(Bernal Investment Company -Bernal Property Backbone Infrastructure) <br />THIS FIRST AMENDMENT TO OFFSITE IMPROVEMENT <br />AGREEMENT made and entered at Pleasanton, California, this ~ day of <br />v~y , 2005, by and between: <br />BERNAL INVESTMENT COMPANY, LLC <br />c/o Greenbriar Homes Communities <br />43160 Osgood Road <br />Fremont, CA 94539 <br />(hereinafter referred to as "Developer") and the CITY OF PLEASANTON, a <br />general law city, located in Alameda County, California (hereinafter referred to as <br />"City"). <br />WHEREAS, Developer has approved plans for residential and commercial <br />development on approximately 196 acres, bounded in the west by the Arroyo de la <br />Laguna, on the north by Bernal Avenue, and on the east by the Alameda County <br />Transportation Corridor, commonly known as the "Bernal Property", lying within <br />the boundaries of the City; and <br />WHEREAS, Developer and City entered into an Offsite Improvement <br />Agreement dated August 10, 2001 for work on improvements plans entitled <br />"Offsite Improvement Plans -Tract 7255" designed by RJA and Associates, <br />approved by the City Engineer on July 27, 2001 ("Agreement"); and <br />WHEREAS, said plans designate the construction of public streets and <br />improvements that the Developer intends to dedicate to the City; and <br />WHEREAS, as a condition precedent to accepting this offer of dedication <br />by Developer, City requires the public improvements, including installation or <br />extension of certain City services at Developer's expense and certain protections <br />for the City on behalf of the public; and <br />WHEREAS, Developer has completed all of the improvements required <br />under the Agreement except: 1) Bernal Avenue Bridge and Bernal Avenue <br />Improvements, and 2) Bioswales shown on Exhibit A. <br />FIRST AMENDMENT TO OFFSITE IMPROVEMENT AGREEMENT <br />Page 1 of 5 <br />
