s ~ <br />AGREEMENT TO CONVEY AMADOR THEATER TO CITY <br />INCLUDING TERMS AND CONDITIONS REGULATING MANAGEMENT AND USE <br />THIS AGREEMENT is made and entered into this 19th day of <br />January, 1988, by and between the CITY OF PLEA3ANTON, a municipal <br />corporation and general law city (hereinafter called "City") and <br />the AMADOR VALLEY JOINT UNION HIGH SCHOOL DISTRICT, a school <br />district formed and existing under and by virtue of the Education <br />Code of the State of California (hereinafter called "District"). <br />R E C I T A L <br />Benefit to Community. Both parties desire to establish the <br />Amador Theater (hereinafter called "Theater"), located on the <br />campus of the Amador Valley High School, as a community civic <br />center and to provide for its ongoing management. In accordance <br />with the terms set forth below, this agreement will provide for <br />the management and operation of the Theater. In this manner, the <br />people of Pleasanton will be provided a performing arts center <br />for drama, ballet, symphony, choral, and other cultural <br />activities. This agreement will promote the purposes set forth <br />in state statutes in the following ways: <br />A. A rejuvenated Amador Theater will present the people of <br />Pleasanton, including students, with a greater variety of <br />cultural events than are now available in Pleasanton. <br />B. The people of Pleasanton, including students, will have <br />greater opportunity to participate in the performing arts. <br />C. The joint use provided by this Agreement will maximize <br />the efficient use of the resources available to the City and the <br />District. <br />A G R E E M E N T <br />NOW, THEREFORE, for and in consideration of the covenants <br />contained herein, the parties hereto agree as follows: <br />1. Conveyance of Theater. <br />a. District shall convey all its right, title, and <br />interest in Amador Theater and including a non-exclusive <br />public service easement all as more particularly described in <br />Exhibit "A" hereto (the "Property") in consideration for <br />City's commitment to renovate and operate the Amador Theater <br />for the benefit of the school district and the community. <br />b. District and City agree to abide by the terms and <br />conditions set forth in this Agreement relating to the <br />management and use of Amador Theater. <br />c. The District shall have and retain a right to <br />repurchase the Property for $100.00 if the City shall ever <br />- 1 - <br />
