. ~ f <br />REIMBURSEMENT AGREEMENT <br />.THIS AGREEMENT made and entered into this ~~7 day of <br />1989, by and between the CITY OF PLEASANTON, <br />a municipal corporation, hereinafter referred to as "City", <br />and the AMADOR LAND AND CATTLE LIMITED PARTNERSHIP, <br />hereinafter referred to as "Amador". <br />W I T N E S S E T H: <br />WHEREAS, Amador Land and Cattle is the owner of real <br />property. within and adjacent to the City of Pleasanton's <br />Sphere of Influence; and <br />WHEREAS, the Pleasanton General Plan includes policies <br />to investigate the feasibility of annexing a 20,000 acre are <br />which include lands owned by Amador Land and Cattle; and <br />WHEREAS, the Pleasanton General Plan policies call for <br />the City to conduct specific studies of access, utilities, <br />public services, environmental constraints, and possible land <br />uses within the subject area; and <br />WHEREAS, the feasibility study will require technical <br />input from various consultants; and <br />WHEREAS, Amador Land and Cattle has agreed to reimburse <br />the City for all costs of hiring selected consultants and <br />City staff time; <br />NOW, THEREFORE, in consideration of the mutual promises <br />set forth below, the parties hereto agree as follows: <br />1. City Obligations. City shall select consultants <br />who will complete the appropriate studies to the satisfaction <br />of the Planning Director. Consultants shall be required to <br />complete their studies in a timely manner. City shall pay <br />and shall invoice Amador for all costs pursuant to terms <br />stated in this agreement. <br />2. Amador's Obligation. Amador shall pay all City <br />costs within thirty (30) days of receipt of an invoice for <br />work completed pursuant to the Scope of Work described in <br />Exhibit "A" and the Consultant Agreement described in Exhibit <br />"B", attached hereto and incorporated herein by this <br />reference. <br />3. Costs to be Reimbursed. Amador shall pay the cost <br />of all studies which the City Planning Director determines <br />are appropriate to investigate the feasibility of annexing <br />the area described in Exhibit "C". As reimbursement, City is <br />entitled to recover the costs of such consultant studies and <br />-1° <br />
