Fourth Amendment Page 1 <br />FOURTH AMENDMENT TO AGREEMENT <br /> <br /> <br />This Fourth Amendment to Agreement ("Fourth Amendment") is entered into this 4th day of <br />November 2025 by the City of Pleasanton ("City") and Mark Thomas and Company, Inc. <br />("Consultant”). <br /> <br />Whereas, on December 6, 2022, the City and Consultant entered into a Professional <br />Services Agreement (“Agreement”) for Civil Engineering Consulting Services for a not to <br />exceed amount of $524,145; and <br /> <br />Whereas, on June 14, 2024, the City and Consultant executed the First Amendment to <br />the agreement, extending the term of the agreement to August 1, 2024, to complete the 35 <br />percent design plans; and <br /> <br />Whereas, on July 16, 2024, the City and Consultant executed the Second Amendment to <br />the agreement to expand the scope of work to include 100 percent design plans and biddable <br />construction documents, increase the contract maximum to a new not-to-exceed amount of <br />$2,773,516.15, and extend the term of the agreement to December 31, 2025; and <br /> <br />Whereas, on October 21, 2025, the City and Consultant executed the Third Amendment <br />to the agreement to further expand the scope of work on the 100 percent design plans to a new <br />not-to-exceed amount of $2,995,689.59, and extend the term of the agreement to December 31, <br />2026; and <br /> <br />Whereas, the City received a $750,000 grant from Alameda County Transportation <br />Commission to complete the design for Phase 2 of the West Las Positas Multimodal <br />Reconstruction Project; and <br /> <br />Whereas, the City has allocated $250,000 in Measure BB Direct Local Distribution <br />funding as the local match to the Alameda County Transportation Commission grant; and <br /> <br />Whereas, the parties desire to further extend the scope and compensation amount of the <br />Agreement. <br /> <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby <br />acknowledged, the parties agree as follows: <br /> <br />1. Section 1, “Consultant Services” of the agreement is amended to include <br />additional services for the completion of Phase 2 of the West Las Positas <br />Multimodal Reconstruction Project as outlined in Exhibit 1, Scope of Work. <br /> <br />2. Section 5, “Compensation” of the agreement is amended to read: <br /> The compensation is increasing by $999,954.25 for a new total compensation <br />amount of $3,995,643.84.
