Third Amendment Page 1 <br />THIRD AMENDMENT TO AGREEMENT <br /> <br /> <br />This Third Amendment to Agreement ("Third Amendment") is entered into this 1 st day of July <br />2025 by the City of Pleasanton ("City") and MARK GRAHAM ("Consultant”) <br /> <br />Whereas, on June 10, 2023, the City and Consultant entered into a Professional Services <br />Agreement for polygraph examinations and evaluations, as amended by the First Amendment <br />dated May 15, 2024, and the Second Amendment dated July 25, 2024 (collectively the <br />"Agreement"); and <br /> <br />Whereas, the City desires that Consultant continue providing these services; and <br /> <br />Whereas, the parties desire to amend the Agreement to update the total compensation <br />and extend the agreement. <br /> <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby <br />acknowledged, the parties agree as follows: <br /> <br />1. Section 3 of the Agreement, “Term,” is amended to read: This agreement shall expire on <br />June 30, 2028, unless terminated earlier in accordance with Section 9 below. <br /> <br />2. Section 4 of the Agreement, “Compensation,” is amended to read: City shall pay Consultant <br />for services rendered pursuant to this Agreement as described more particularly in Exhibit A. <br />The payments shall be made on a monthly basis upon receipt and approval of Consultant’s <br />invoice. Total compensation for services and reimbursement for costs shall not exceed a total <br />of $99,000. <br /> <br />3. Exhibit A of the Agreement, "Proposal" is amended as attached. <br /> <br />4. This amendment may be executed in multiple counterparts, each of which shall be an original <br />and all of which together shall constitute one agreement. Counterparts may be delivered via <br />facsimile, electronic mail (including pdf or any electronic signature complying with U.S. <br />federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California Uniform Electronic <br />Transactions Act (Cal. Civil Code §1633.1 et seq.), or other applicable law) or other <br />transmission method, and any counterpart so delivered shall be deemed to have been duly <br />and validly delivered and be valid and effective for all purposes. <br /> <br />5.
