PROFESSIONAL SERVICES AGREEMENT <br />THIS PROFESSIONAL SERVICES AGREEMENT (“Agreement”) is entered into this <br />1st day of July 2025, between the CITY OF PLEASANTON, a municipal corporation (“City”), <br />and Rincon Consultants, Inc., whose address is 66 Franklin St., Suite 300, Oakland, CA, 94607 <br />and telephone number is (510) 671-0175, (“Consultant”). <br />RECITALS <br />A.Consultant is qualified to and experienced in providing on-call environmental review <br />services on an as-needed basis for the purposes specified in this Agreement. <br />B.City finds it necessary and advisable to use the services of the Consultant for the <br />purposes provided in this Agreement. <br />NOW THEREFORE, in consideration of the mutual covenants and conditions in this <br />Agreement, City and Consultant agree as follows: <br />1.Consultant’s Services. Subject to the terms and conditions set forth in this Agreement, <br />Consultant shall provide to City the services and furnish the materials, reports, and drawings <br />related to the preparation of environmental review documents pursuant to California <br />Environmental Quality Act (CEQA) and its Guidelines, as hereinafter set forth: <br />a.Consultant shall perform all work described in the Scope of Work which will be <br />submitted prior to authorization to proceed on individual projects. <br />b.Consultant shall meet with City staff, other pertinent agencies, and/or landowners as <br />necessary to complete the scope of work outlined in Section 1(a) above. <br />c.The City retains the right to select other consultants for services based on City needs. <br />2.City Assistance, Facilities, Equipment and Clerical Support. In order to assist Consultant <br />in this work, City shall provide, if necessary, relevant application materials and related reports, <br />any existing plans of the area on file, necessary direction, and review of consultant-submitted <br />draft materials within a reasonable time. Other City services shall be as mutually agreed to by the <br />City and consultant as part of an authorized Scope of Work. <br />3.Term. This contract shall commence on the date written above and shall expire on June 30, <br />2028, with up to two additional one-year extensions. Work authorizations issued by the City prior <br />to the expiration of the term of the Agreement may be completed by Consultant after the term of <br />this Agreement. <br />4.Compensation. For the as-needed services to be rendered, City shall pay Consultant on time- <br />and-materials based on the rate schedule per Exhibit A, which is attached and incorporated into <br />this agreement. Exhibit A may be amended on an annual basis at the start of the new fiscal year <br />(July 1).
