Contract #2022502 Fourth Amendment Page 1 FOURTH AMENDMENT TO AGREEMENT This Fourth Amendment to Agreement ("Fourth Amendment") is entered into this 23rd day of September 2025, by the City of Pleasanton ("City") and MaintStar, Inc. ("Consultant”). Whereas, on May 20, 2022, the City and Consultant entered into a Software Services Agreement for a Computerized Maintenance Management System (C.M.M.S.) services, as amended by a First Amendment dated, August 08, 2023 to extend the term, as amended by a Second Amendment dated July 1, 2024 to extend the term, and as amended by the Third Amendment dated July 1, 2025 to extend the term (collectively the "Agreement"); and Whereas, the parties desire to add additional services and increase the total compensation. Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows: 1. Section 3 of the Agreement (“Term”) is amended to provide that the Agreement shall expire on June 30, 2027 2. Section 4 of the Agreement (“Compensation) the total cumulative compensation amount will be increased by $90,450 with a new not to exceed amount of $630,892. Exhibit D includes the additional services for data integration with the Asset Management Project (CIP No. 24460) in the amount of $73,350 and for annual API hosting and support services for two years at $17,100 (see attached). 3.This Fourth Amendment may be executed in multiple counterparts, each of which shall be an original and all of which together shall constitute one agreement. Counterparts may be delivered via facsimile, electronic mail (including pdf or any electronic signature complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California Uniform Electronic Transactions Act (Cal. Civil Code §1633.1 et seq.), or other applicable law) or other transmission method, and any counterpart so delivered shall be deemed to have been duly and validly delivered and be valid and effective for all purposes. 4. All other terms and conditions of the Agreement shall remain in full force and effect.
