<br /> <br /> <br /> <br />AGREEMENT FOR SERVICES <br /> <br /> This Agreement is between the City of Pleasanton, a municipal corporation (“City”), and <br />Alisal Restaurant Group d.b.a. Sabio on Main (“Concessionaire”), whose address is 501 Main St, <br />Pleasanton, CA 94566 is entered into on August 25, 2025. <br />RECITALS <br />A. City is the owner of the Firehouse Arts Center located at 4444 Railroad Avenue in <br />Pleasanton, CA ("FAC"). The City and Concessionaire desire to enter into this Agreement to allow <br />Alisal Restaurant Group d.b.a. Sabio on Main to provide food and beverage concessionaire <br />services at the Firehouse Arts Center. <br />NOW THEREFORE, in exchange for valuable consideration, the receipt of which is <br />hereby acknowledged, the parties agree as follows: <br />1. Services to be performed. Concessionaire shall provide food and beverage services <br />described in Exhibit A and B, attached hereto, and incorporated herein by this reference. <br />2. Term. The term of this MOU commences on the date written above and expires on June 30, <br />2026. Thereafter, this MOU may be extended by mutual agreement through a written amendment <br />for an additional two years. <br />3. Compensation. Vendor shall retain ninety percent (90%) of gross concession sales revenue <br />and remit ten percent (10%) of gross concession sales revenue to the City (“City Share”). “Gross <br />concession sales revenue” means the total amount charged for all products sold by Vendor at the <br />Firehouse Arts Center, without deduction for expenses, fees, or other costs. <br />a. Payment Schedule. Vendor shall remit the City Share to the City in three installments <br />each season: on or before December 31, 2025, March 31, 2026 and June 30, 2026. <br /> <br />b. Method of Payment. Payments shall be made by check payable to “City of Pleasanton” <br />and mailed to: <br /> <br />City of Pleasanton <br />Attn: Firehouse Arts Center/Recreation Manager <br />P.O. Box 520 <br />Pleasanton, CA 94566 <br /> <br />c. Sales Reports. Each payment shall be accompanied by a written sales report for the <br />corresponding period, showing the total gross concession sales and the calculation of <br />the City Share. <br /> <br />d. Late Payments. Any payment not received within thirty (30) days of the due date shall <br />accrue interest at the rate of one percent (1%) per month, or the maximum rate allowed <br />by law, whichever is lower. <br />4. Indemnification.
