Second Amendment Page 1 <br />SECOND AMENDMENT TO AGREEMENT <br /> <br />This Second Amendment to Agreement ("Second Amendment") is entered into this 1st day of <br />July 2025 by the City of Pleasanton ("City") and James M. Knox (dba Knox Investigations) <br />(Consultant). <br /> <br />Whereas, on June 28, 2023, the City and Consultant entered into a Professional Services <br />Agreement for background investigation services, as amended by the First Amendment dated <br />August 1, 2024 (collectively the "Agreement"); and <br /> <br />Whereas, the City and the Consultant desire to extend Section 3 of the Agreement, <br /> <br /> <br />Whereas, the City and the Consultant desire to adjust Section 4 of the Agreement, <br /> <br /> <br />Whereas, on July 1, 2025, updates to the Business and Professions Code section 7524 <br />became effective, requiring private investigators to meet the statutory requirements as described <br />in that section. (S.B. 1454); and <br /> <br />requirements as described in Business and Professions Code section 7524; and <br /> <br />Whereas, the City and Consultant desire to amend the insurance requirements in the <br />Agreement. <br /> <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby <br />acknowledged, the parties agree as follows: <br /> <br />1. <br />expire on June 28, 2028, unless terminated earlier in accordance with Section 9. <br /> <br />2. Section 4 of the Agreement, is amended to read: City shall pay <br />Consultant for services rendered pursuant to this Agreement as described more <br />particularly in Exhibit A. The payments shall be made on a monthly basis upon <br />reimbursement for costs shall not exceed a total of $99,000. <br /> <br />3. <br /> <br />4. Section 12.a General Liability and Bodily Injury Insurance <br />amended to read: Commercial general liability insurance with limits of at least <br />$1,000,000 combined limit for bodily injury and property damage that provides that <br />the City, its officers, employees and agents are named as additional insureds under <br />the policy as evidenced by an additional insured endorsement satisfactory to the City <br />Attorney. The policy shall state in writing either on the Certificate of Insurance or <br />attached rider that this insurance will operate as primary insurance for work <br />performed by Consultant and its subconsultants, and that no other insurance effected <br />by City or other named insured will be called on to cover a loss. <br /> <br />Docusign Envelope ID: 96BFD307-A0E9-493E-B457-880FB549ACA6
