SECOND AMENDMENT TO AGREEMENT <br />This Second Amendment to Agreement ("Second Amendment") is entered into this 19th day of <br />August 2025 by the City of Pleasanton ("City") and Sequoia Ecological Consulting, Inc. <br />(" Consu ltant") <br />Whereas, on July 16, 2024, the City and Consultant entered into a Design Professional <br />Services Agreement for environmental design services ("Agreement"); and <br />Whe1·eas, the City and Consultant entered into a first amendment on May 5th, 2025 for <br />necessary rare plant surveys additional compensation is required to conduct necessary special <br />status plant species surveys; and <br />Whereas, additional compensation is required to conduct necessary special status plant <br />species surveys, project management, and bid support and the contract terms require extension: <br />Whereas, the parties desire to amend the Agreement; <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby <br />acknowledged, the parties agree as follows: <br />1.Section 1 of the Agreement "Consultant Services" is amended to include the special <br />status species survey, project management, and bid support services described in <br />Exhibit A. <br />2.Section 4 of the Agreement, "Term" is amended to extend the contract tenn to <br />December 31, 2025. <br />3.Section 5 of the Agreement, "Compensation" is amended to read: the compensation <br />is increasing by $20,870 for a new total compensation amount of $172,485. <br />4.This amendment may be executed in multiple counterparts, each of which shall be an <br />original and all of which together shall constitute one agreement. Counterparts may be delivered <br />via facsimile, electronic mail (including pdf or any electronic signature complying with U.S. <br />federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California Unifom1 Electronic <br />Transactions Act (Cal.
