First Amendment Page 1 FIRST AMENDMENT TO AGREEMENT This First Amendment to Agreement ("First Amendment") is entered into this 15th day of July 2025 by the City of Pleasanton ("City") and SCI Consulting Group ("Consultant”) Whereas, on October 1, 2024 the City and Consultant entered into a Professional Services Agreement for financial and engineering services ("Agreement"); and Whereas, the scope of work requires modification, the terms of the agreement need to be extended, and the compensation needs to be increased accordingly, Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows: 1. Section 1 of the Agreement, " Consultant Services" is amended to read: The scope of services has been modified to provide a Proposition 218 compliant voting process for the Ponderosa-Del Prado, Windsor, and Bonde Ranch LMDs and to provide an updated Engineer’s Report for the Oak Tree Farm and Moller Ranch LMDs and indicated in Exhibit A. 2. Section 3 of the Agreement, “Term” is amended to extend the contract to December 31, 2026. 3. Section 4 of the Agreement “Compensation” is amended for an additional amount of $36,270, to provide a total not-to-exceed compensation amount of $100,960. 4. This amendment may be executed in multiple counterparts, each of which shall be an original and all of which together shall constitute one agreement. Counterparts may be delivered via facsimile, electronic mail (including pdf or any electronic signature complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California Uniform Electronic Transactions Act (Cal. Civil Code §1633.1 et seq.), or other applicable law) or other transmission method, and any counterpart so delivered shall be deemed to have been duly and validly delivered and be valid and effective for all purposes. 5. All other terms and conditions of the Agreement shall remain in full force and effect.
