<br /> Page 1 of 6 <br />AS-NEEDED TRADE SERVICES AGREEMENT <br /> <br />FOR HYDRAULIC MODELING MAINTENANCE & <br />SCENARIO ASSESMENT SERVICES <br /> <br />THIS AGREEMENT is made and entered into this First day of July 2025 between Akel Engineering <br />Group, Inc. ("Consultant"), a California Corporation, whose address is 7433 N First Street #103, Fresno <br />CA 93720 and the CITY OF PLEASANTON, a municipal corporation ("City"). <br /> <br />RECITALS <br /> <br />A. Consultant is qualified and experienced in providing engineering services to maintain/update the <br />newly developed hydraulic model and run limited scope scenarios as necessary to support Public <br />Works/Utilities activities and requirements as set forth in Exhibit A of this Agreement. <br /> <br />B. City finds it necessary and advisable to obtain engineering services from Consultant on an as-needed <br />basis. <br /> <br />NOW THEREFORE, in consideration of the mutual covenants and conditions in this Agreement, <br />City and Consultant agree as follows: <br /> <br />1. Services to be Performed. Consultant shall perform, or cause to be performed, the type of work <br />or services described in Exhibit A. This Agreement does not obligate the City to utilize <br />Consultant exclusively for the kind of work or services. <br /> <br />When requested by the City, Consultant will submit a written estimate detailing the cost to <br />perform the requested services. No work shall be performed unless approved by the City’s <br />designated project manager. <br /> <br />2. Term. The term of this Agreement commences on the date written above and will expire on <br />June 30, 2027. <br /> <br />3. Compensation. Total compensation pursuant to this Agreement shall not exceed $99,999. Rates <br />shall be as set forth in Exhibit A. <br /> <br />a. Payment shall be made within thirty (30) days of receipt of Contractor’s invoice and approval <br />by City. <br /> <br />b. Compensation shall be based on the time and materials set forth in Exhibit A. . <br /> <br />4. Sufficiency of Consultant’s Work. All work product and all other documents prepared <br />by Consultant shall be adequate and sufficient to meet the purposes for which they are <br />prepared. <br /> <br />5. Ownership of Work. All work product and all other documents completed or partially <br />completed by Consultant in the performance of this Agreement shall become the property <br />of the City.
