1 <br /> <br />MEMORANDUM OF UNDERSTANDING BETWEEN <br />THE CITY OF PLEASANTON AND VALLEY HUMANE SOCIETY <br /> <br /> <br />THIS MEMORANDUM OF UNDERSTANDING (“MOU”) is entered into this 1st day of June <br />2025, between the CITY OF PLEASANTON, a municipal corporation ("City"), and VALLEY <br />HUMANE SOCIETY, a nonprofit corporation (“Valley Humane”). <br /> <br />RECITALS <br /> <br />A. WHEREAS, Valley Humane Society (“Valley Humane”) is a nonprofit <br />corporation exempt from taxation under section 501(c)(3) of the Internal Revenue Code whose <br />mission is to encourage and strengthen the bonds between pets and people; and <br /> <br />B. WHEREAS, Valley Humane has provided trained volunteer handlers <br />(“volunteers”) and dogs for the Paws to Read program for the City of Pleasanton (“City”) at the <br />Pleasanton Public Library (“Library”) for over 20 years; and <br /> <br />C. WHEREAS, Pleasanton residents, especially children, benefit from the Paws to <br />Read program at the Library, where program participants (“participants”) read to trained dogs and <br />their volunteers in a supportive and engaging environment; and <br /> <br />D. WHEREAS, City and Valley Humane wish to enter into this MOU to establish <br />the roles and responsibilities of both parties regarding the operation and management of the Paws <br />to Read program at the Library. <br /> <br />NOW, THEREFORE, the parties agree as follows: <br /> <br />I. TERM <br /> <br />A. This MOU will commence on June 1, 2025 and terminate May 31, 2030, <br />unless terminated earlier as described below. <br /> <br />B. This MOU may be terminated in the event of dissolution of Valley Humane or <br />the Paws to Read program, or by either party without cause with sixty (60) days advance <br />notification to the other party in writing. <br /> <br />II. OBLIGATIONS OF VALLEY HUMANE SOCIETY <br /> <br />A. Management of Volunteers and Dogs <br /> <br />1.
