First Amendment Page 1 FIRST AMENDMENT TO AGREEMENT This First Amendment to Agreement ("First Amendment") is entered into on the twenty-first day of March 2025 by the City of Pleasanton ("City") and L.F. Sloane Consulting Group, whose address is 9830 Giaveno Cir, Unit 1633, Naples, FL 34113, and telephone number is 518-424- 7757, (“Consultant”). Whereas, on July 19, 2024, the City and Consultant entered into a Service Agreement for a deficit spending analysis for the Pleasanton Pioneer Cemetery ("Agreement") and Whereas, the parties desire to amend the Agreement in order to provide additional consulting for deferred revenue analysis and refining potential operating models. Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows: 1. Section 1 of the Agreement, " Consultant’s Services" is amended to read: Subject to the terms and conditions set forth in this Agreement, Consultant shall provide to City the deferred revenue analysis and refine potential operating models, as described in Exhibit A1 to the First Amendment. Consultant shall provide said services at that time, place and in the manner specified in Exhibit A1 to the First Amendment. 2. Section 4 of the Agreement is amended to read as follows: The compensation is increasing by $24,000 for the total compensation not to exceed $52,000. The schedule for compensation shall be as described in Exhibit A1 to the First Amendment. 3. This amendment may be executed in multiple counterparts, each of which shall be an original and all of which together shall constitute one agreement. Counterparts may be delivered via facsimile, electronic mail (including pdf or any electronic signature complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California Uniform Electronic Transactions Act (Cal. Civil Code §1633.1 et seq.), or other applicable law) or other transmission method, and any counterpart so delivered shall be deemed to have been duly and validly delivered and be valid and effective for all purposes. 4. All other terms and conditions of the Agreement shall remain in full force and effect.
