<br />REIMBURSEMENT AGREEMENT <br /> <br /> <br />This Reimbursement Agreement for consultant services related to a development <br />application by Danville Brewing Company (“Agreement”) is entered into on October 17, 2024, <br />between the City of Pleasanton, a general law city (“City”) and Danville Brewing Company <br />(“Applicant”). <br /> <br />RECITALS <br /> <br />A. Applicant owns 3595 Utah Street, Pleasanton, California (the “Property”) upon which <br />Applicant is proposing to construct a single 10,100 square foot, one-story structure containing a <br />production brewery, brew pub, and covered outdoor biergarten (the “Project”). <br /> <br />B. The City will be engaging the services of TJKM Transportation Consultants <br />(“Consultant”) in order to prepare a Traffic Impact Study for the Project. <br /> <br />C. Applicant agrees to reimburse City for the cost of such Consultant services (“Consultant <br />Costs”). <br /> <br />NOW, THEREFORE, in exchange for valuable consideration, the parties agree as follows: <br /> <br />1. Reimbursement of Consulting Costs. Applicant shall reimburse the City for the <br />Consultant Costs outlined in the proposed scope of work attached hereto as Exhibit A. <br /> <br />2. Time and Manner of Reimbursement. Applicant shall make a $14,141 payment (the <br />“Deposit”) to the City at the time of entering into this Agreement. All invoices shall be provided <br />by City pursuant to the notice requirements of Section 6, below. <br /> <br />Consulting Costs due to the City pursuant to this Agreement shall be payable to the City of <br />Pleasanton and mailed to the following address within 30 days: <br /> <br />Attention: Ellen Clark <br /> City of Pleasanton Community Development <br />Department <br /> 200 Old Bernal Avenue <br />P.O. Box 520 <br />Pleasanton, CA 94566-0802 <br /> <br />3. Term. This Agreement shall be effective on the date of execution and shall continue <br />until February 28, 2025. <br /> <br />4. Amendments. Any amendment, modification, suspension, or cancellation of this <br />Agreement must be in writing, signed by the City and Applicant. <br /> <br />5. Disputes. Disputes arising under this Agreement shall be filed with the City Manager, <br />who shall be authorized to resolve such disputes. Any decision made by the City Manager with <br />respect to this Agreement may be appealed to the City Council. Any such appeal to the City <br />Council must be made in writing and addressed to the City Council.
