SECOND AMENDME r T TO AGREEME T <br />This Second Amendment to Agreement ("Second Amendment") is entered into this 2S1h day of <br />July 2024 by the City of Pleasanton ("City") and MARK GRAHAM ("Consultant") <br />Whereas, on June I 0, 2023, the City and Consultant entered into a Profes s ion a l Service <br />Agreement for polygraph examinations and eva luations , as amended by the First Amendment <br />dated May 15 , 2024 (collectively the "Agreement"); and <br />Whereas, the City desires that Consultant continue providing rhe se services; an<l <br />Whereas, the parties desire to amend the Agreement to update the total compensation. <br />Now, therefore , in exchange for valuable consideration , the receipt of which is hereby <br />acknowledged , the parties agree as follows: <br />1. Section 4 of the Agreement, 11 Compensation" is amended to read: the compensation is <br />increasing by $3,000 per fiscal year for a new total compensation amount of $23,000 per fiscal <br />year (July 1 -June 30) for a total not to exceed amount of $46,000. <br />2. This amendment may be executed in multiple counterparts, each of which sha ll be an <br />original and all of which together shall constitute one agreement. Counterparts may be delivered <br />via facsimile , electronic mail (including pdf or any electronic signature complying with U.S. <br />federal E-Sign Act of 2000 ( 15 U.S. Code §700 I et seq.), California Unifonn Electronic <br />Transactions Act (Cal. Civil Code§ 1633 .1 et seq.), or other applicable law) or other transmission <br />method, and any counterpart so delivered shall be deemed to have been duly and validly <br />delivered and be valid and effective for all purposes. <br />3.
