First Amendment – [contract #2021349] Page 1 <br />FIRST AMENDMENT TO AGREEMENT <br />This First Amendment to Agreement ("First Amendment") is entered into this 1st day of July 2024 by <br />the City of Pleasanton ("City") and Moffatt & Nichol whose address is 2185 N. California Boulevard, <br />Suite 500, Walnut Creek, CA 94596-3500, and telephone number is (925) 944-5411, ("Consultant”) <br />RECITALS <br />Whereas, on January 19, 2021 the City and Consultant entered into Design Professional <br />Services Agreement for structural engineering services ("Agreement"); and <br />Whereas, the City would like to extend the Term of the Agreement by one (1) year to <br />December 31, 2024. <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby <br />acknowledged, the parties agree as follows: <br />1.Section 4 of the Agreement, "Term" is amended to read: “The term of this agreement <br />shall run from February 1, 2021 to December 31, 2024. At the sole discretion of the City, the <br />contract may be extended up to an additional one year for a maximum term through December <br />31, 2025.” <br />2.This amendment may be executed in multiple counterparts, each of which shall be an <br />original and all of which together shall constitute one agreement. Counterparts may be delivered <br />via facsimile, electronic mail (including pdf or any electronic signature complying with U.S. <br />federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California Uniform Electronic <br />Transactions Act (Cal. Civil Code §1633.1 et seq.), or other applicable law) or other transmission <br />method, and any counterpart so delivered shall be deemed to have been duly and validly <br />delivered and be valid and effective for all purposes. <br />3.
