Third Amendment Page 1 <br />THIRD AMENDMENT TO AGREEMENT <br />This Third Amendment to Agreement ("Third Amendment") is entered into this 19th day of <br />September 2023 by the City of Pleasanton ("City") and AECOM Technical Services, Inc. <br />("Consultant”) <br />Whereas, on April 19, 2018 the City and Consultant entered into a Design Professional <br />Services Agreement for Project Study Report – Project Development Support Services for the <br />Sunol Boulevard/I-680 Improvements Project CIP No. 15551 ("Agreement"); and <br />Whereas, on June 16, 2020, a First Amendment to the Agreement was executed and <br />included an addition to the scope of work to include the development of the Project Approval <br />and Environmental Document, increasing the maximum expenditure and extending the term of <br />the agreement; and <br />Whereas, on September 9, 2021, a Second Amendment to the Agreement was executed <br />to further extend the term of the agreement to accommodate additional time necessary for <br />required project analysis; and <br />Whereas, the scope of work, project term and consultant compensation have been <br />expanded to include the work required to prepare a Plans, Specifications, and Estimate <br />Documents for the Sunol Boulevard/I-680 Improvements Project; and <br />Whereas, the parties desire to amend to the Agreement to provide for such additional <br />Consultant services. <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby <br />acknowledged, the parties agree as follows: <br />1.Section 1 of the Agreement, " Consultant’s Services" is amended to read: the <br />scope of services has been expanded to include the work required to for Plans, <br />Specifications, and Estimates for the Sunol Boulevard/I-680 Improvements <br />Project, see Attachment 2a. <br />2. Section 2 of the Agreement, “Term” is amended to read: the term is extended to <br />August 1, 2025. <br />3. Section 5 of the Agreement, “Compensation” is amended to read: the <br />compensation is increasing by $4,340,332, which includes Tasks 1-4 and Tasks 7- <br />8 only (see Attachment 2b) for a new total compensation amount of $6,062,156. <br />4.All other terms and conditions of the Agreement shall remain in full force and <br />effect. <br />DocuSign Envelope ID: CBE1018E-48F2-430A-9355-1071BEFD71A4
