GRANTOR: PACIFIC BELL TELEPHONE COMPANY APN: 941-1300-17 AND 941-1300-1$ <br /> PROJECT: JOHNSON DRIVE ECONOMIC DEVELOPMENT ZONE PROJECT <br /> CITY OF PLEASANTON <br /> AGREEMENT FOR PURCHASE OF FEE, EASEMENTS AND TEMPORARY <br /> CONSTRUCTION EASEMENTS <br /> In consideration of the terms and conditions set forth in this Agreement for Purchase of Fee, <br /> Easements and Temporary Construction Easements ("Agreement"), Pacific Bell Telephone <br /> Company, a California corporation, formerly known as and which acquired title as Pacific <br /> Telephone and Telegraph Company, a California Corporation ("GRANTOR") hereby grants and <br /> delivers this Agreement to the City of Pleasanton ("CITY") conveying Fee, Easements and <br /> Temporary Construction Easements as set forth herein. <br /> This Agreement is based on the following facts: <br /> A. GRANTOR owns Property located in the City of Pleasanton; <br /> 8. CITY wishes to construct a Project on Grantor's Property and will require fee, easements <br /> and temporary construction easements over a portion of the Property. <br /> Now, therefore, the Parties agree: <br /> 1. Definitions. In this Agreement: <br /> City means the City of Pleasanton, a political subdivision of the State of California, and its <br /> elected and appointed officials, officers, employees, agents, contractors, and volunteers. <br /> Project means the CITY's Johnson Drive Economic Development Zone Project. <br /> Grantor means Pacific Bell Telephone Company, a California corporation, formerly <br /> known as and which acquired title as Pacific Telephone and Telegraph Company, a <br /> California Corporation. <br /> Property means the parcel(s)owned by GRANTOR on which the fee, easements and <br /> temporary construction easements are located, identified in Attachment 1 (Legal <br /> Description). <br /> Fee means fee simple of the Property, as described in Attachments 2 and 2-1, including <br /> their Exhibits A and B <br /> Easement means the area of the Property to be acquired by the CITY as an easement, as <br /> described in Attachments 3 and 3-1, including their Exhibits A and B. <br /> TCE or the TCF Area means the Temporary Construction Easements, described in the <br /> Temporary Construction Easement Agreement and Attachments 4 and 4-1 including <br /> their Exhibits A and B. <br /> TCE Agreement means the Temporary Construction Easement Agreement in the form <br /> attached hereto as Attachment 4,to be recorded at the close of escrow. <br /> Escrow or Escrow Account means the escrow account established by the CITY at First <br /> American Title Company, 920 51 Avenue, Suite 1200, Seattle, WA 98104, Order <br /> No.NCS-955024-WAi <br /> 2. Grant Deed and Easement Deed. <br /> GRANTOR shall deposit in Escrow two (2) Grant Deeds, two (2) Easement Deeds and one (1) <br /> TCE Agreement suitable for recordation conveying the Fee, the Easements and the TCE from <br /> GRANTOR to CITY. The Fee, the Easements and the TCE must be free and clear of all liens, <br /> leases, encumbrances, recorded or unrecorded, assessments and taxes, except for any <br /> Page 7 of 7 <br />
