DEVELOPMENT AGREEMENT <br /> <br /> With respect to the Development Agreement, dated as of November 18, 1986, by and <br />between The City of Pleasanton, a municipal corporation of the State of California (the "City") <br />and Patrician Associates, Inc., a California corporation ("Patrician"), and Koll Bemal Avenue <br />Associates ("Koll") a Califomia general parmership, as tenants-in-common operating as a joint <br />venture under the name of Bemal Avenue Associates (dba "Bemal Avenue Associates") <br />(together "Developer"), recorded on December 15, 1996, as Instrument No. 86-315720 in the <br />Official Records of Alameda County, California ("Official Records"), as amended by that certain <br />First Amendment to the Development Agreement recorded on January 28, 1997, as Instrument <br />No. 97-025590 in the Official Records, and on February 4, 1997, as Instrument No. 97-035382 <br />(collectively, the "First Amendment," and all to be known as the "Development Agreement"): <br /> <br /> 1. The Development Agreement is in full force and effect and a binding obligation <br />of the parties. <br /> <br /> <br />
