SUBDIVISION AGREEMENT TRACT N0. 4863, SANTA RITA INDUSTRIAL PARK, PLEASANTON ALAj~DA COUNTY, CALIFORNIA THIS AGREEMENT made and entered at Pleasanton, California this 10th day of February 1982, by and between: RHEEM INVESTmeNT GROUP, a California Corporation, c/o J. David Martin, 5820 Stoneridge Mall Road, Suite 300, Pleasanton, California 94566, (hereinafter referred to as "Subdivider"), and DEVCON DEVELOPI-~NT, INC., a California Corporation, 425 Lakeside Drive, Sunnyvale, California 94086 (hereinafter referred to as "Assignee") and the City of Pleasanton, a municipal corporation (hereinafter referred to as "City"). WHEP~AS, Subdivider has a tentative map for said tract, lying within the boundaries of the City, duly approved by the Planning Connnission and the City Council; and WHEREAS, all or a portion of the area of the tentative map is presented as a "final map", a copy of said map is on file in the office of the City Engineer, and by reference is included in this agreement for all purposes as if attached hereto; and WHEREAS, Subdivilder has complied with all the conditions of approval of the tentative map, including entering into an agreement with the City to (1) participate in financing certain studies such as traffic facilities, water services, and fire services and (2) agree to participate in assessment districts or other funding mechanisms for certain improvements; and WHEREAS, said map and subdivision of land designates streets, easements and public ways for the City, and Sub- divider proposes to dedicate this land set forth in the final map to the City; and WtlEREAS, as a condition precedent to accepting this offer of dedication by Subdivider, City requires the improvements of the public ways, installation or extension of certain City services at Subdivider's expense and certain protections for the City on behalf of the public; and -1- EXHIBIT A
