c. Termination of work under the contract at any <br />time prior to full completion shall result in full payment by <br />CITY to Engineer for that portion of work to be performed <br />under Paragraphs 6, 8, 10, 14, 16 and 19 which have been <br />completed as of the date of termination within 30 days from <br />receipt of invoice for the above referenced work. Payment of <br />the hereinbefore referenced lump sum fee shall be based on the <br />agreed amount of work completed in each "Fee" category. <br /> <br /> 26. Scope of Agreement: This writing constitutes the <br />entire Agreement between the parties relative to the <br />engineering services, and no modification hereof shall be <br />effective unless and until such modification is evidenced by a <br />writing signed by both parties to this Agreement. <br /> <br /> 27. Non-Assignability: The Agreement shall be deemed <br />personal to CONSULTING ENGINEER; and CONSULTING ENGINEER shall <br />not assign, sublet or transfer this contract or any interest <br />or obligation therein withour the prior written consent of the' <br />CITY, and then only upon such terms and conditions as CITY may <br />set forth in writing. <br /> <br /> 28. Waiver: In the event that either CITY or CONSULTING <br />ENGINEER shall at any time or times waive any breach of this <br />Agreement by the other, such waiver shall not constitute a <br />waiver of any other or succeeding breach of this Agreement, <br />whether of the same or any other covenant, condition or <br />obligation. <br /> <br /> <br />
