EME.qGENCV AMBULANCE AGREEMENT <br />PAGE NINE <br /> <br /> DEFAUL~ <br /> <br /> 50. In the event that the Contractor defaults in the performance of the <br /> terms of this Agreement, the Contract Administrator shall so notify <br /> Contractor in writing specifying the nature of the default and the <br /> amount of time within which the Contractor shall have to remedy such <br /> default. If after receipt of such notice the Contractor shall fail' <br /> t.o remedy such default within the time period specified, the Contract ' <br /> Administrator m~y forthwith suspend this Agreement in whole or in <br /> part and the County may terminate the Agreement in whole or in part. <br /> <br /> INDEPENDENT CONTRACTOR <br /> <br /> 51. This Agreement is an agreement by and between two (2) independent <br /> contractors and is not intended to and shall not be construed to create <br /> the relationship of agency, servant, employee, partnership, joint <br /> venture, or association. <br /> <br /> MODIPlCATION OF AGREEMENT <br /> <br /> 52. From time to time, amendments or modifications to the text of the <br /> Agreement may be initiated by either party hereto and may be incorporated <br /> into this Agreement by mutual consent and in writing as evidenced by <br /> resolution of the Board of Supervisors approvlng such modification. <br /> <br /> TERM OF AGREEMENT <br /> <br /> 53. This Agreement shall Commence on July I, lg82, and shall terminate on <br /> June 30, 1985, provided, however, this Agreement shall remain in force <br /> after said termination date to the extent necessary to process claims <br /> for payment which may become due and payable for services rendered by <br /> Contractor prior to said termination data. <br /> <br />TERMINATION FOR CONVENIENCE <br /> <br />54. This Agreement may be terminated by either party for any reason such <br /> party shall determine that such termination is in the best interest. <br /> Such termination shall be effective. at the end of the contract year <br /> upon I20 days prior written notice thereof. The period from January I <br /> to Oecember 31 constitutes a contract year. <br /> <br />WAIVER <br /> <br />55.
