6. ASSESSMENT. The Developers hereby consent to the <br /> <br />levy of special assessments against their respective parcels of <br /> <br />land in Assessment District No. 1983-2 in the amounts shown in <br /> <br />Appendix B to this agreement and in total as follows: <br /> <br />Assessed to Prudential parcels: $36,753,663.00 <br /> <br />Assessed to CPP parcels: $9,021,337.00 <br /> <br />7. DEVELOPER'S WAIVERS. The Developers hereby waive <br /> <br />the right to contest the levy of these assessments, or their <br /> <br />amounts, in any judicial proceeding, and further' waive their <br /> <br />right to pay these assessments or any part of them in cash <br /> <br />within thirty (30) days after recordation of the assessments. <br /> <br />8. DEVELOPER'S WARRANTIES. The Developers make the <br /> <br />following warranties: <br /> <br />A. That they are the owners in fee, respectively, <br /> of the parcels listed in Appendix A. <br /> <br />That on the date of this agreement there are <br />no mortgages or deeds of trust encumbering <br />Hacienda, except as follows: <br /> <br />A deed of trust dated October 1, 1980, and <br />recorded on October 3, 1980,'under <br />Recorder's Serial No. 80/1722725, for <br />which the beneficiary is Willow West <br />Properties, a partnership. This deed of <br />trust affects Lot Nos. 1, 5-8, 12, 13, <br />23-25, 27 and 35. <br /> <br />A deed of trust dated August 11, 1982, and <br />recorded on August 13, 1982, under <br />Recorder's Serial No. 82/123020, for <br />which the beneficiary is Union Bank, a <br />California corporation. This deed of <br />trust affects Lot Nos. 2-4, 16, 17, 28, <br />30, 34 and 37. <br /> <br />C. The Improvements are free of mechanic's and <br /> materialmen's liens, or other claims of any <br /> kind, and the Developers have the power to <br />· transfer to the City clear title to the <br /> Improvements. <br /> <br /> <br />
