REIMBURSEMENT AGREEMENT <br /> <br /> THIS IS AN AGREEMENT between the City of Pleasanton, a <br />municipal corporation of the State of California (hereinafter <br />"the City") and The Prudential Insurance Company of America <br />(hereinafter "Prudential"), a New Jersey Corporation, and <br />Callahan-Pentz Properties, Pleasanton (hereinafter "CPP"), a <br />California general partnership (hereinafter "the Developers"). <br /> <br /> The Developers are co-developers of the land generally <br />described as Hacienda Business Park Phase ! (hereinafter <br />"Hacienda") and more particularly described in the parcel map <br />entitled "Parcel Map 3858, Haicenda BUsiness Park, City of <br />Pleasanton, pages 49 through 56, inclusive, in the office of the <br />County Recorder of the County of Alameda, State of California. <br />The Developers have respectively constructed within Hacienda <br />certain improvements designed for public use, as more fully <br />described hereafter. The parties intend that these improvements <br />shall be transferred to the City for public use and the 'City <br />shall reimburse Developers for development costs of the <br />improvements and the development costs are to be specially <br />assessed against the land within Hacienda benefitting from the <br />improvements. The purpose of the agreement is to establish the <br /> <br />terms of the transfer and reimbursement of development costs. <br /> NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS: <br /> <br /> 1. IMPROVEMENTS TO ~E TRANSFERRED. The Developers <br /> <br />agree to transfer <br />developmpnt costs <br />hereinafter <br /> <br /> and the City agrees to pay Developers their <br /> (hereinafter "Development Costs") as <br /> <br />set forth for the following described improvements <br /> <br /> <br />
