Contractor shall maintain records of payroll distribution, receipted bills, and <br />such other documents as may be reasonably required by MTC. Requisitions shall be <br />accompanied by supporting documentation. If the requisition includes payment for <br />work performed under subcontract, copies of the consultant invoices shall be <br />enclosed. Payment to Contractor shall be made upon receipt and approval of <br />requisitions by MTC as expeditiously as possible, upon receipt of funds from UMTA. <br /> <br />6. Changes <br /> <br />From time to time, circumstances or conditions may require changes to this <br />Agreement affecting the work program, the project task budget or other terms or <br />conditions. Such Changes which are mutually agreed upon between MTC and Contractor <br />shall be incorporated in written amendments to this Agreement. <br /> <br />7. Termination <br /> <br />MTC may terminate this Agreement in whole or in part at any time upon five working <br />days prior written notice. Contractor shall submit a requisition to MTC for an <br />amount representing the reasonable value of services actually performed to the <br />effective date of termination for which Contractor has not been previously <br />reimbursed. In no event shall the maximum expenditure allowed under this Agreement <br />be exceeded. Upon payment of the amount found due, NTC shall be under no further <br />obligation to Contractor, monetary or otherwise. <br /> <br />8. Restrictions, Prohibitions, Controls and Labor Provisions <br /> <br />a. Equal Employment Opportunity <br /> <br />In the performance of services under this Agreement, Contractor shall not <br />discriminate or permit discrimination against any person or group of persons <br />on the grounds of race, religious creed, color, national origin, age, <br />ancestry, physical handicap, medical condition, marital status or sex, in <br />any manner prohibited by Federal, State or local laws. Contractor will <br />comply with all applicable provisions of Executive Order 11246 as amended by <br />Executive Order 11375 and as supplemented by Department of Labor Regulations. <br />Contractor shall take affirmative action to ensure that applicants are <br />employed, and that employees are treated during their employment, without <br />regard to their race, religion, Sex, color or national origin. <br /> <br /> <br />
