18. Independent Contractor: It is agreed that CONSULTING <br /> ENGINEER is an independent contractor and all persons working <br /> for and under the direction of CONSULTING ENGINEER are its <br /> agents, servants and employees, and not agents, servants or <br /> employees of CITY. <br /> <br /> 19. Reliance Upon Professional Skills: It is mutually <br />agreed by the parties that CITY is relying upon the <br />professional skill represented by CONSULTING ENGINEER, and <br />CONSULTING ENGINEER represents to CITY that its work will <br />conform to the professional standards normally exercised by <br />Consulting Engineers in the State of California. The <br />acceptance of its work by CITY does not operate as a release <br />of CONSULTING ENGINEER from said representation. <br /> <br /> 20. Costs and Attorney's Fees: The prevailing party in <br />any action brought to enforce or construe the terms of this <br />Agreement may recover from the other party its reasonable <br />costs and attorney°s fees expended in connection with such an <br />action. <br /> <br /> 21. Agreement Contains All Understandings: This document <br />represents the entire and integrated Agreement between CITY <br />and CONSULTING ENGINEER and supersedes all prior negotiations, <br />representations, or agreements, either written or oral. This <br />document may be amended only by written instrument, signed by <br />both CITY and CONSULTING ENGINEER. All provisions of this <br />Agreement are expressly made conditions. This Agreement shall <br />be governed by the laws of the State of California. <br /> <br /> <br />
