EIGHTH AMENDMENT TO AGREEMENT This amendment made and entered into this day of , 1984, by and between the CITY OF PLEASANTON (hereinafter referred to as "CITY" or "OWNER") and KENNEDY/JENKS ENGINEERS, INC., formerly Kennedy Engineers, Inc., a California corporation (hereinafter referred to as "ENGINEER"); WITNESSETH WHEREAS, CITY AND ENGINEER entered into an Agreement dated 7 January 1974 for engineering services related to the construction of an interceptor sewer line from CITY's Sunol sewage treatment plant to the Valley Community Services District (now known as the Dublin- San Ramon Services District) sewage treatment plant; and WHEREAS, the parties have previously entered into Amendments to the 7 January 1974 Agreement in order to comply with current or chang- ing Federal Regulations (First Amendment dated 9 February 1976; Second Amendment dated 11 April 1977; Third Amendment dated 15 September 1977; Fourth Amendment dated 27 November 1979; Fifth Amendment dated 10 November 1981; Sixth Amendment dated 23 November 1982; and the Seventh Amendment dated 23 November 1982; and WHEREAS, billings for work performed during 1981, 1982 and 1983 were based on provisional overhead rates that have now been suspended by audited rates; NOW, THEREFORE, in consideration of the terms, promises, covenants, and conditions set forth herein, the parties hereto agree to amend Amendments No. 1, 2, 3, 4, 5, 6, and 7 as follows: ENGINEER'S OVERHEAD RATE MODIFICATION: Engineer's provisional overhead rates referred to in Contract and Amendments No. 1, 2, 3, 4, 5, 6, and 7, as applicable, shall be adjusted as follows: For all work performed in 1981: K/J JOB NO.
