SECTION 8. Meetings of the Board. <br /> <br /> (a) The Board shall hold at least one regular meeting each year, and, <br />by resolution, may provide for the holding of regular meetings at more frequent <br />intervals. The date upon which, and the hour and place at which, each such regular <br />meeting shall be held shall be fixed by resolution of the Board. <br /> <br /> (b) Special meetings of the Board may be called in accordance with the <br />provisions of Se(tion 54956 of the Government Code of the State of California. <br /> <br /> (c) Aii meetirigs ot the Board shall be called, noticed, held and <br />conducted subject to the provisions of the Ra!ph M. Brown Act (Chapter 9 <br />(commencing with Section 54950) of Part I of Division 2 of Title 5 of the Government <br />Code of the State of California). <br /> <br /> (d) ~he se_~retary of th~ Authority shall cause minutes oF all meetings <br />of the Board to be .~ept allc: shall, as soon as possible after each meeting, cause a <br />copy of the ii, inutc~ to be ro~,!,arded to each member of the Board and to the <br />respective city clerks of each of ti~e Cities. <br /> <br /> (e) Three nlembers of the Board shall constitute a quorum for the <br />transaction of business, except that less than a quorum may adjourn from t~me to <br />time. Any action of the Board shall require the affirmative vote of not less than <br />three members. <br /> <br />SECTION 9. 9f~_i_c_e__r_si__DU_t_iesl Official Bonds. <br /> <br /> (a) The Board shall elect a chairman of the Authority and a vice- <br />chairman of the Authority from among its members and shall appoint a secretary of <br />the Authority who may, but need not, be a member of the Board. <br /> <br /> (b) is hereby designated as <br />treasurer of the Authority. Subject to the applicable provisions of any indenture <br />or resolution providing for' a trustee or other fiscal agent, the treasurer is <br />designated as the depositary of the Authority to have custody of all the money of <br />the Authority, from whatever' source, and, as such, shall have the powers, duties <br />and responsibilities specified in Section 6505.5 of the Joint Powers Law. <br /> <br /> (c) is hereby designated as <br />auditor-controlle~'~'~"~G~6r~'~:"~n~'a'~G'~"S~all have the powers, duties <br />and responsibilities specified in Section 6505.5 of the Joint Powers Law. <br /> <br /> (d) The City Council of shall determine the charges <br />to be made against the Authority foF'~6"~'~"'~f the treasurer and auditor- <br />controller to the e~tent unencumbered funds are available therefor. <br /> <br /> (e) The t~'easurer and auditor-controller of the Authority are <br />designated as the public officers or persons whn have charge of, handle, or have <br />access to any proper~y of the Authority, and each such officer shall file an <br />official bond with the secretary oF the Authority in an amount to be determined by <br />the Board.
