no further duty to make any investigation or inquiry before acting upon any such direction of the <br />Committee. <br />6.6 Law. This Trust will be construed in accordance with the laws of the State of <br />California and applicable federal law. <br />6.7 Invalidity. In the event any provision of this Trust is held illegal or invalid for any <br />reason, said illegality or invalidity will not affect the remaining provisions hereof, and this Trust <br />will thereafter be construed and enforced as if said illegal or invalid provisions had never been <br />included therein, unless the illegality or invalidity frustrates the intended purposes of the Trust, <br />in which case the Employer shall terminate the Trust in accordance with Section 5.3. <br />ARTICLE VII <br />DEFINITIONS <br />7.1 "Code" means the Internal Revenue Code of 1986, as amended. <br />7.2 "Committee" means the entity responsible for operating and administering the <br />Trust in accordance with its terms. See Section 2.3. <br />7.3 "Employer" means the City of Pleasanton, a municipal corporation exempt from <br />federal income tax under the Code. <br />7.4 OPEBs" means post employment benefits other than pension benefits provided <br />by the Employer to eligible retirees, spouses, domestic partners, and dependents. <br />7.5 "Participant" means a person who is entitled to receive OPEBs from the <br />Employer. <br />7.6 "Trust" means this OPEB Trust, established by declaration of the Employer. <br />7.7 "Trustee" means the person(s) or entity appointed by the Employer to hold and <br />invest Trust assets.
