WHEREAS, <br /> <br />FHA requires that certain amendments be made <br />to the Indenture to comply with FHA <br />regulations in order to permit Initial <br />Endorsement; <br /> <br /> NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF <br />PLEASANTON RESOLVES AS FOLLOWS: <br /> <br />Section 1: <br /> <br />The proposed form of a supplemental indenture <br />(the "First Supplemental Indenture"), by and <br />between the City and Seattle-First National <br />Bank as Trustee, substantially in the form <br />submitted to this meeting, is hereby <br />approved, and the Mayor or City Manager and <br />City Clerk of the City are hereby authorized <br />and directed to.execute and deliver, for and <br />in the name of and on behalf of the City, <br />said First Supplemental Indenture with such <br />additions, changes and corrections as said <br />officers may approve upon consultation with <br />the City Attorney and Brown, Wood, Ivey, <br />Mitchell & Petty ("Bond Counsel"), such <br />approval to be conclusively evidenced by the <br />execution of said First Supplemental <br />Indenture with such additions, changes or <br />corrections. <br /> <br />Section 2: <br /> <br />If any section, paragraph or provision of <br />this resolution shall be held to be invalid <br />unenforceable for any reason, the invalidity <br />or unenforceability of such section, <br />paragraph or provision shall not affect any <br />remaining provisions of this resolution. <br /> <br />Section 3: <br /> <br />Nothing contained in this resolution or in <br />the document the City Council is approving <br />herein shall be construed as obligating the <br />general credit of the City, nor shall the <br />breach of any agreement contained in this <br />resolution or the document executed in <br />connection herewith imposed any charge upon <br />the general credit of the City. <br /> <br />Section 4: <br /> <br />This resolution shall take effect immediately <br />upon its passage and adoption. <br /> <br />2 <br /> <br /> <br />
