as the same may from time to time be amended (the "Development <br />Agreement"): <br /> <br /> (d) In addition, Properties ~grees to support and <br />cooperate in the formation and implementation of the proposed <br />North Pleasanton Improvement District ("NPID") which, as presently <br />contemplated, is designed to provide for and finance the construction <br />of various roadways, utility and related imDrovements in connection <br />wi~h the existing and future commercial development of the North <br />Pleasanton area. Specifically, Properties agrees to either (1) not <br />protest the establishment of the NPID or (2) to affirmatively vote <br />for the creation of the NPID and agrees further to do no act <br />calculated or tending to prevent, imDede or defeat the successful <br />formation thereof. However, ProDerties retains the riKht to protest <br />the type or SCOPe of improvements, costs thereof, and their allocation <br />among various properties as to equitableness and reasonableness. <br /> <br /> (e) In addition, Properties agreesto enter into an <br />appropriate agreement modifying (in accordance with the provisions <br />of this subparagraph (e)) that "Agreement of Procedures and <br />Obligations for Assisting in the Establishment of a Major Shopping <br />Center in the Stoneridge Area Through Financing of the Public <br />improvements by Special Assessment Proceedings", dated April 25, <br />1978, between and among Promerties, the City and certain other <br />enti~jies (the "1978 A~reement"). (All capitalized ter~s used in' <br />this subparagra~h (e) not otherwise defined in this Agreement shall <br />have the meanings given to them in the 1978 Agreement.)
