8. Term. The term'of this agreement shall begin on <br /> <br />July 1, 1984, and end on August 31, 1985, or uDon completion of <br /> <br />the General Plan update if sooner. The term of this agreement <br /> <br />may be extended upon the mutual consent of both the City and <br /> <br />Consultant. <br /> <br />9. Full-Time Work. It is understood and agreed by Consultant <br /> <br />that during the term of this agreement Consultant shall be available <br /> <br />as needed to Perform the services described herein. <br /> <br /> 10. Termination for Convenience of City. City may terminate <br />this agreement at any time by mailing a notice in writing to <br /> <br />Consultant that the agreement is terminated. The agreement <br /> <br />shall be deemed terminated two (2) days following the mailing <br /> <br />said notice, and no further work shall be performed by Consultant. <br /> <br />In the event the agreement is so terminated, Consultant shall be <br /> <br />paid for the time spent up to the time the agreement is deemed <br /> <br />terminated. <br /> <br /> 11. Non-Assignability. <br /> <br />The agreement shall be deemed <br /> <br />personal to Consultant, and Consultant shall not assign, sublet <br /> <br />or trans.fer this agreement or any interest or obligation therein <br /> <br />without the prior written consent of the City, and then only <br />upon such terms and conditions as City may set forth in writing. <br />Provided, however, claims for money due or to become due to the <br /> <br />Consultant from the City under this agreement may be assigned to <br /> <br />a bank, trust company or other financial institution without such <br />approval. Notice of any said assignment or transfer'shall be <br />furnished promptly to City. <br /> <br /> 12. Waiver. In the event that either City or Consultant <br />shall at any time or times waive any breach 'of'this agreement <br /> <br /> <br />
