one or more affected parties which would require <br /> specific improvements, transfers of land, or any <br /> other action other than the direct payment of <br /> funds, Prudential shall pay for all fees and <br /> expenses and undertake to make all improvements <br /> and transfers at the time necessary, provided, <br /> however, that said agreement is mutually accept- <br /> able and agreed upon by the City and Prudential. <br /> (d) City shall use its best efforts to attempt to <br /> <br /> acquire those lands of MB Associates on such terms <br /> and conditions such that no payment to MB Associates <br /> shall be required until the North Pleasanton <br /> Improvement District is formed and bonds are sold. <br /> In the event acquisition cannot be accomplished on <br /> the above terms, City shall acquire said lands <br /> only after reaching an agreement with Prudential <br /> over the terms and conditions of said acquisition.' <br /> <br /> 3. The parties shall cooperate with each other to cause <br /> <br />the North Pleasanton Improvement District to be formed as soon as <br />reasonably practical and to cause the North Pleasanton Improvement <br />District to reimburse Prudential for all costs and expenses <br />incurred by them, plus interest, if such costs, expenses, and <br />interest are included as a part of the costs and expenses financed <br />by the North Pleasanton Improvement District and such costs. <br />expenses and interest are reimbursable by the North Pleasanton <br />Improvement District to Prudential. Reimbursement by City shall <br />be made within thirty (30) days after the sale of the bonds. <br /> <br /> <br />
