NOW, THEREFORE, in consideration of the foregoing, the parties <br />hereby agree as follows: <br /> <br /> 1. Contract for Maintenance Services. <br /> <br /> Valley agrees to maintain all those improvements, <br /> <br />including~but not necessarily limited to, the landscaping, street <br />lighting, traffic signal, and soundwalls~ included within the District. <br /> <br /> 2. Maintenance Standards for Landscaping. <br /> <br /> Valley agrees to diligently maintain and care for the <br /> <br />landscaping in the District using generally acceDted methods for <br />cultivation and irrigation. Valley shall maintain that standard <br />of care necessary to keep the landscaping in a healthy, attractive, <br />and weed-free condition. Maintenance of landscaping shall include <br />replacement of plants as required to ensure the District landscaDing <br />continues to meet the requirements of the landscaDe plan approved <br />by the City. <br /> <br /> 3. Payment. <br /> <br /> The City shall pay Valley as total compensation for <br /> <br />the services to be provided the Assessment less (i) any exDenses <br />incurred by the City during the term of this Agreement for <br />maintenance of any improvement included within the District, and <br />(ii) an administration fee of two percent (2%) of the Assessment. <br />Payment shall be made in two installments, within thirty (30) days <br />of City's receipt of Assessment funds from the County of Alameda, <br />in an amount equal to one-half the Assessment less those City costs <br />and expenses as detailed above incurred during the period covered <br />by the installment payment. <br /> <br /> If, at the end of Fiscal Year 1983-84, there exists a <br />surplus of revenue to Valley created by their actual costs of <br /> <br />-2- <br /> <br /> <br />
