The Development Documents

<br /> The following three interrelated documents together are intended to
<br />satisfy the submittal requirements for the establishment of a Planned Unit
<br />Development, ("PUD") in Pleasanton, California:

<br />The Development Plan. The Hacienda Business Park Development Plan
<br />("the Development Plan"), dated May l, 1982, was prepared by
<br />P.O.D. Inc., Landscape Architects, Fee and Munson, Architects, and
<br />Bissell & Karn, Inc., Civil Engineer. The Development Plan sets
<br />forth the development standards for Hacienda Business Park, proposed
<br />to be co-developed by The Prudential Insurance Company of America
<br />("Prudential") and Callahan Pentz Properties, Pleasanton, a
<br />California general partnership ("CPP-Pleasanton"). The Development
<br />Plan includes a Land Use Plan for Hacienda, and addresses such
<br />concepts as landscaping, parking and vehicular and pedestrian
<br />circulation. Descriptions and diagrams of possible building designs
<br />which may be used in the various land use districts are also included
<br />in the Development Plan. The Development Plan was approved by the
<br />City Council on June 22, 1982 with the adoption of Ordinance No.
<br />1040. However, see section below entitled "Superior Court Action and
<br />Referendum".

<br />Declaration of Covenants, Conditions and Restrictions: The
<br />Declaration of Covenants, Conditions and Restrictions ("CC & R"s")
<br />for Hacienda Business Park was recorded in the official records of
<br />Alameda County on September 17, 1982. The CC & R's set forth certain
<br />policies, procedures and regulations which must be adhered to in the
<br />development, construction and maintenance of Hacienda Business Park.
<br />The CC & R's outline the procedure for design review approval.
<br />Architectural and development standards are specified, including
<br />provisions for parcel size, utilities, parking areas, driveways, and
<br />special construction requirements. Allowable uses are listed for the
<br />following different planning districts:

<br />Retail/Commercial/Financial, General Office, Garden Office, Mid-Rise
<br />Office and R&D/Light Manufacturing. The CC & R's set forth
<br />provisions for the administration of the Hacienda Business Park
<br />Owner's Association, and the duties and powers thereof. Other items
<br />addressed in the CC & R's include the maintenance and repair of
<br />facilities, and remedies in the event of non-payment of liens and
<br />Association assessments.

<br />The Design Guidelines: The Design Guidelines for Hacienda Business
<br />Park (the "Design Guidelines") were prepared by P.O.D., Inc.,
<br />Landscape Architects, Fee and Munson, Architects, and Bissell and
<br />Karn, Inc., Civil Engineers. The Design Guidelines address such
<br />topics as site planning, building guidelines, landscaping and
<br />planting, parking areas, public service easelnents, signing and
<br />lighting.

<br /> A copy of the Development Plan, the Declaration of Covenants, Conditions
<br />and Restrictions and the Design Guidelines are available for inspection at the
<br />City of Pleasanton.
