WHEREAS, <br /> <br />this City Council is the elected legislative body of <br />the City; and <br /> <br />WHEREAS, <br /> <br />the City caused a notice to appear in the Valley Times <br />which is a newspaper of general circulation in the City, <br />on February 14, 1984, to the effect that a public hearing <br />would be held by this City Council on February 28, 1984, <br />regarding the issuance of the Bonds and the nature and <br />location of the Project; and <br /> <br />WHEREAS, <br /> <br />this City Council held the said public hearing on such <br />date, at which time an opportunity was provided to present <br />arguments both for and against the issuance of the Bonds <br />and the nature and location of the Project; <br /> <br />NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF PLEASANTON <br />RESOLVES AS FOLLOWS: <br /> <br />Section 1: <br /> <br /> The recitals herein contained are true and correct, <br />and this City Council so finds. <br /> <br />Section 2: <br /> <br /> Pursuant to Section 103(k) of the Code, this City <br />Council hereby approves the issuance of the Bonds to <br />provide financing for the Project. It is the <br />purpose and intent of this City Council that this <br />resolution confirm approval of the issuance of bonds <br />by the applicable elected representative of the issuer <br />and the applicable elected representative of the gov- <br />ernmental unit having jurisdiction over the area in <br />which the Project is located, in accordance with said <br />Section 103(k). <br /> <br />Section 3: <br /> <br /> The proposed form of an indenture (the "Indenture"), <br />by and between the City and Seattle-First National Bank <br />as Trustee, substantially in the form submitted to <br />this meeting, is hereby approved, and the Mayor or <br />City Manager and City Clerk of the City are hereby <br />authorized and directed to execute and deliver, for <br />and in the name of and on behalf of the City, said <br />Indenture with such additions, changes and correc- <br />tions as said officers may approve upon consulta- <br />tion with the City Attorney and Brown, Wood, Ivey, <br />Mitchell & Petty ("Bond Counsel"), such approval <br />to be conclusively evidenced by the execution of <br />said Indenture with such additions, changes <br />or corrections. Seattle-First National Bank, Seattle, <br />Washington, is hereby appointed to act as trustee <br />under the Indenture with the duties and powers of <br />such trustee as set forth in the Indenture. <br /> <br />- 2 - <br /> <br /> <br />
