(11) ENFORCEMENT. The City will pursue collection of past due charges to <br />the Pleasanton Downtown Business Improvement District. The Ploasanton <br />Downtoxvn Association will cooperate with the City in the collection of any past <br />due charges and will assist the City by attending all court appearances that may be <br />required. <br /> <br />(12) INDEMNIFY AND HOLD HAR1VILESS. Association shall defend, <br />indemnify, and hold harmless, the City and its officers, and employees from and <br />against all claims, losses, damage, injury, and liability for damages arising from <br />errors, omissions, negligent or wrongful acts of the Association in the performance <br />of its services under this Agreement, regardless of whether the City has reviewed <br />and/or approved the services which have given rise to the claim, loss, damage, <br />injury or liability for damages. <br /> <br />(13) INSURANCE. <br /> <br />(a) Association shall take out and maintain throughout the period of this <br />Agreement comprehensive general liability insurance with minimum limits <br />of $1,000,000 combined single limit (CSL), or $1,000,000 bodily injury per <br />occurrence and $300,000 property damage per occurrence covering all <br />bodily injury and property damage arising out of its operations, activities <br />and/or special events, under this Agreement. <br /> <br />(b) Association shall provide automobile insurance covering all bodily <br />injury and property liability incurred during the performance of this <br />Agreement with minimum coverage of $250,000 for property damage per <br />accident, $500,000 for bodily injury for each person, and not less than <br />$2,000,000 for bodily injury per accident; or $1,000,000 per accident <br />combined single limit (CSL). <br /> <br />(c) Association shall throughout the period of this Agreement maintain <br />in full force and effect a policy of workers' compensation insurance <br />covering all its employees and volunteers. <br /> <br />(d) Association shall provide a fidelity bond for all employees or agents <br />of the Association who handle money pursuant to this Agreement with <br />minimum limits of $25,000. <br /> <br />(e) Said policies shall name City as an additional insured and shall <br />constitute primary insurance as to City, its officers, agents and employees, <br />so that any other policies held by City shall not contribute to any loss under <br /> <br />(agt~mcntXdnmaso.sam) 6 <br /> <br /> <br />
