4.2 ANNUAL PRODUCT MAINTENANCE FEE <br />For the produd maintenance to be provided by Questica in accordance with Sedion 10 hereinbelow, the <br />Licensee shall pay a fee in the amount representing 18% of the value of the licensed software. This fee <br />shall be paid to Questica with the following terms: <br />Annual Produd Maintenance- Net payable (Waived in Year 1) $0 <br />Annual Produd Maintenance (Year 2 8 Subsequent Years) $9,270 <br />Such fee shall be paid by Licensee within thirty (30) days from the later of a) the date of receipt of invoice or <br />b)theinvoice date. <br />Questice shall provide the said Pmdud Maintenance for additional subsequent one year periods provided <br />an Annual Product Maintenance Fee is received by Questica by no later than the first Business Day of each <br />additional one year period. If payment of the Annual Produd Maintenance Fee is not received by Questica <br />on or before said first Business Day of the next additional year, Questira's obligation to provide the said <br />maintenance and support services pursuant to Sedion 10 hereof shall be terminated. ff requested by <br />Licensee at the time of execution of this agreement, Questing will invoice Licensee for the next year's <br />maintenance and support services not less than two months prior to the f rst Business Day of said next year, <br />and for each year thereafter for so long as Licensee continues to pay said Annual Produd Maintenance Fee. <br />The Annual Produd Maintenance term shall commence upon the signing of this Agreement. <br />4.3 PRODUCT CUSTOMIZATION <br />Not Applicable <br />4.4 PRODUCT IMPLEMENTATION <br />Produd Implementation, including associated consulting and training, shall be provided at $175 per hour. <br />On-site days are six and one half (6 %:) hours in duration (g:00am to 12 noon, 1:OOpm to 4:30pm). Alternate <br />lunch hours can be mutually ananged with the consultanUtraining 'rf necessary. If the Licensee requests that <br />the consultant remain onsite beyond the established hours in order to complete or continue with scheduled <br />or new topics, the Licensee will be billed at the fixed after-hours rate of $175 per hour. <br />Only approved Consulting, Training or Implementation time shall be invoiced. Such work will proceed only <br />with the written approval of the Licensee's primary contact or their delegate. A mutually determined change <br />control mechanism will be used to accommoQatemodificetiohs to the scope of the implementation. <br />.. '; J'; .,.._, 4.57ECHNICALSUPPORT ~., ,: :'` -'-. ~~. <br />Phone and e-mail based Technical Support shall be provided at no cost for a period of one (1) year on an <br />as-required basis. <br />Additional Technical Support beyond this one year period will be available at Questica's then current rates <br />Technical Support is available through Questica's normal business hours, Monday through Friday, gam <br />through 4:30pm, Eastern Standard Time. A qualified individual will be available to address any Technical <br />Support Issue within three (3) business hours. <br />Technical Support shall only be provided to individuals with the prior written approval of Diredor of Finance. <br />Such fees shall be paid by Licensee within thirty (30) days from the later of a) the date of receipt of invoice <br />or b) the invoice date. <br />Page 3 of 11 <br />
