Box 520 Pleasanton, CA 94566 14. Conformance to Annlicabio Lawa. Consultant shall comply with all applicable Federal, State, and Municipal laws, Hiles, and ordinances. Consultant shall not discriminate in the employment of persons or in the provision of services under this Agreement on the basis of any legally protected classification, including race, color, national origin, ancestry, sex or religion of such person. 15. Licenses. Certifications and Permits. Prior to the City's execution of this Agreement and prior to the Consultant's engaging in any operation or activity set forth in this Agreement, Consultant shall obtain a City of Pleasanton business license, which must be kept in effect during the teen of this Agreement. Consultant covenants that it has obtained all certificates, licenses, permits and the like required to perform the services under this Agreement. 16. Records and Audits. Consultant shall maintain all records regarding this Agreement and the services performed for a period of three years from the date that final payment is made. At any time during normal business hours and after five business days notice, the records shall be made available to the City to inspect and audit. 17. Confidentia8ty. In the perfotmaztce of or otherwise in cotmection with this Agreement, one patty ("Disclosing Party") may disclose to the other party ("Receiving Party") certain Confidential Ltfomuttion of the Disclosing Party. Confidential Information" means any information of either party, which is not generally known to the public, whether of a technical, business or other nature (including, but not necessarily limited to: trade secrets, ktww how, computer program source codes, and information relating to the customers, business plans, promotional and marketing activities, finances and other business affairs of such party); provided that the same is conspicuously marked or otherwise identified as confidential or proprietary information prior to, upon or promptly after receipt by the other party; aad provided further that the any software or software application server source code provided by Consultant or its licensors shall be deemed to wttstitute Confidential Information without further designation by Consultant The Receiving Party will treat sceh Confidential Information as confidential and proprietary of the Disclosing Party and will use such Confidential Information solely for the purposes for which it is provided by the Disclosing Party and will not disclose such 4
