11.01.85 <br />P129-019 <br />realestl-370 C ~ <br /> <br /> ARTICLE 12 <br /> <br /> GENERAL PROVISIONS <br /> <br /> 12.1 Amendment and Cancellation. This agreement may <br />be amended or cancelled only by the written consent of all <br />parties. <br /> <br /> 12.2 Duration. The easements, covenants and <br />restrictions hereunder shall create mutual benefits and <br />servitudes upon the parcels subject to this agreement running <br />with the land in perpetuity unless amended or terminated as <br />provided in Section 1~2.1. This agreement shall bind and inure <br />to the benefit of, and be enforceable by the respective assigns <br />and successors of the parties. <br /> <br />12.3 Merger. All negotiations and agreements <br />heretofore had by and between the parties hereto and their <br />agents with respect to this transaction are merged into this <br /> <br />agreement which completely sets forth the obligations of the <br />parties. <br /> <br /> 12.4 Captions. The captions and headings in this <br />agreement are for the purposes of reference and convenience <br />only and shall not limit or expand the meaning of the <br />provisions hereof. <br /> <br /> 12.5 Attorneys' Fees. If either party brings an <br />action at law or in equity to enforce, interpret or redress the <br />breach of this agreement, the prevailing party in such action <br />shall be entitled to its litigation expenses and reasonable <br />attorneys' fees incurred in addition to all other relief as may <br /> <br /> -13- <br /> <br /> <br />
