Lessor: Secretary-Manager Alameda County Agricultural Fair Association Fairgrounds, Pleasanton Avenue Pleasanton, California 94566 Lessee: City Manager City of Pleasanton 200 Old Bernal Avenue P. O. Box 520 Pleasanton, California 94566 Notice by certified mail shall be deemed to be communicated twenty-four (24) hours from the time of mailing. 26. This Lease is, and shall be, binding upon the heirs and executors, administrators, successors and assigns and respective parties hereto. 27. Lessee shall be liable for the payment of any possessory interest tax levied against the leased premises together with any and all trade fixtures or other property placed by Lessee in or on or about the demised premises. 28. It is agreed by and between the parties hereto that time is of the essence in this Lease and failure of Lessee to perform as provided herein shall be cause for the termination of the Lease. 29. Any disputes arising under this agreement between Lessor and Lessee shall be resolved by Secretary-Manager of Lessor and City Manager of Lessee if possible. If a dispute cannot be resolved in said manner, it shall be submitted for arbitration to the Fair Liaison Committee consisting of two representatives of Lessor's Board and two representatives of Lessee's City Council. 30. Wholly aside from all other provisions of this agreement, City agrees to lease and the Alameda County Agricultural Fair Association (hereinafter "Fair Association") agrees to rent a 0.435 acre parcel of land shown in Attachment B to this Agreement ("Lease Parcel"). The term of this lease shall be for the period from the date of this agreement to August 1, 1987. The Fair Association shall pay the City Two Dollars ($2.00) as rent for said lease. The Fair Association shall defend, hold harmless and indemnify the City for any liability claims which arise in relation to the Lease Parcel. - 6 -
