with Stage 2 will contain steel conduit in Parcel A-2 of size <br /> to accommodate fiber optic cable of a size to be specified by <br /> SPTCo in its reasonable discretion, which size shall not be <br /> less than eight inches inside diameter nor more than ten <br /> inches inside diameter. The conduit shall be placed <br /> thirty-six inches (36") below grade or as otherwise <br /> reasonably specified by SPTCo. <br /> <br /> 6. Shoofly Modification. <br /> <br /> a. Immediately upon execution of this agreement by all <br /> parties, railroads will cooperatively initiate design of a <br /> shoofly modification to the existing shoofly alignment as <br /> shown on Exhibit A. The modified shoofly design will move <br /> the westerly end of the existing shoofly to reconnect with <br /> the WPRR mainline approximately as shown on Exhibit A. <br /> <br /> b. Railroads will complete construction of the <br /> modified shoofly by May 1, 1986 or ninety (90) days from the <br /> date that all three grade separation structures (Bernal, Del <br /> Valle and Verona) are completed and ready for reinstallation <br /> of rails, whichever comes later. <br /> <br /> c. WPRR will be responsible for constructing those <br /> portions of the modified shoofly within WPRR right of way and <br /> SPTCo will be responsible for constructing those portions of <br /> the modified shoofly within SPTCo right of way or upon the <br /> Madden parcel. City will be responsible for obtaining a <br /> right of entry for any work required on the Madden parcel, if <br /> required. <br /> <br /> d. City will pay fifty percent (50%) of the cost of <br /> the shoofly modification. City contribution shall be <br /> prorated between the parties based upon their respective <br /> percentage contributions to the actual construction cost of <br /> shoofly modification. <br /> <br /> 7. Tail Track. The design for the structure and the <br />structure as built in Stage 1, shall be adequate to sustain and <br />shall provide sufficient width for SPTCo's tail track to be <br />included in the bridge structure, spaced at least 16 feet <br />centerline to centerline, and shall fully comply with clearance, <br />walkway and other requirements of applicable general orders or <br />other orders of the California Public Utilities Commission which <br />said commission has issued or may have issued prior to <br />construction. As part of Stage 1 and at no cost to SPTCo, WPRR <br />will grant a twenty-three foot (23') wide easement upon and along <br />the southerly side of its mainline right-of-way for placement of <br />the relocated SPTCo tail track, as more particularly shown on <br />Exhibit A. Thereafter SPTCo shall be responsible for all costs <br />related to relocation of the SPTCo tail track and shall commence <br />relocation of the tail track no later than 100 calendar days <br />after receipt of written notice from City of completion of Stage <br />1 and shall complete such relocation within 200 calendar days <br />after receipt of such notice.
