beyond its reasonable control or not reasonably foreseeable, such <br />inability to perform shall be deemed to be excused and no <br />penalties or sanctions shall be imposed as a result thereof, <br />provided Grantee has notified Grantor in writing within thirty (30) <br />days of its discovery of the occurrence of such an event. 'Such <br />causes beyond Grantee's reasonable control or not reasonably <br />foreseeable shall include, but shall not be limited to, acts of <br />God, war or act of war, civil emergencies and labor unrest or <br />strikes. <br /> <br />13. HOLD HARMLESS <br /> <br /> 13.1 The Grantee on behalf of itself, its successors and <br />assigns, shall defend, indemnify and hold harmless the Grantor, its <br />officers, boards, commissions, agents and employees, and each of <br />them, against and from any and all claims, demands, actions, suits, <br />liabilities and judgments of every kind and nature and regardless <br />of the merits of the same, arising out of or related to the <br />exercise or enjoyment of the franchise granted pursuant to this <br />Agreement and to Ordinance No. 1224 , including costs of <br />investigations, attorneys' fees and court costs in the defense of <br />any actions, to the extent that such claims or demands are alleged <br />to be the result of any error, omission, intentional act or <br />negligent act of Grantee or any persons employed by Grantee, even <br />if that Grantee employee is in error or by misinformation alleged <br />to be a Grantor employee. <br /> <br /> <br />
