(d) In the event a part of the Project Site is <br />sold, the amount due shall be a pro rata amount based on the <br />ratio of the acreage sold to the total acreage in the Project <br />Site. <br /> <br /> (e) Provided, however, that in the event VMH <br /> <br />sells all or a part of the Project Site to another nonprofit <br />health care entity having a 501(C)(3) exemption, the assessment <br />levied against such property shall not be repaid so long as the <br />facilities constructed on said property are within the description <br />of nonprofit health care facilities and services described in <br />Section 2 hereof. <br /> <br /> 4. Use By ~H of Project Site for Other Purposes. <br /> <br />In the event VMH develops all or part of the Project Site for <br />purposes other than those described in Section 2 hereof, ~4H <br />shall pay to the City within thirty (30) days of receipt of <br />City discretionary land use approval for such use an amount <br />equivalent to that described in Section 3 above. <br /> <br /> 5. Dedication of Rights-of-Way And Easements. VMH <br />agrees to dedicate to the City such rights-of-way and easements <br />as may be required for the construction of the traffic circulation, <br />water supply/distribution, and fire services improvements <br />financed by north Pleasanton assessment districts formed to <br /> <br />complete such improvements. <br /> 6. Limitations on Successors-in-Interest to the Project <br />Site. Except as provided herein, the obligations of VMH created <br /> <br />by this Agreement are personal to VMH.
