· ARTICLE 1: CONSULTANT'S SERVICES. The CONSULTANT shall <br /> perform professional services required by the CITY for this <br /> PROJECT upon receipt of a fully executed TASK ORDER from the <br /> CITY. Each TASK ORDER shall list the scope of services to <br /> be performed, state the time within which the work is to be <br /> completed, delineate any special conditions, state the method <br /> of compensation for services, and authorize the CONSULTANT <br /> to proceed. It is agreed between the parties to this AGREE- <br /> MENT that the CONSULTANT cannot be responsible for delays <br /> occasioned by factors beyond its control, nor by factors <br /> which could not reasonably have been foreseen at the time <br /> the AGREEMENT was prepared. <br /> It is a~reed that CONSULTANT will take reasonable steps <br /> to comply with time requirements if factors beyond <br /> CONSULTANT'S control make the time schedule difficult to <br /> achieve. <br /> ARTICLE 2: COMPENSATION AND PAYMENT FOR SERVICES. As <br /> consideration for providing the services under ARTICLE 1, <br /> the CITY shall compensate the CONSULTANT as provided for in <br /> each TASK ORDER on one or more of the following bases: <br /> Fixed Price; or <br /> Labor and Expenses; or <br /> Per Diem <br /> The basis of compensation for each TASK ORDER shall be de- <br /> termined at the time the CITY and CONSULTANT engage in mean- <br /> ingful negotiations for that TASK ORDER. The compensation <br /> methods are described in Sections A through E below. <br /> <br /> <br />
