AGREEMENT <br /> <br /> THIS AGREEMENT, made and entered into this day of <br /> , 1985, by and between the CITY OF PLEASANTON, a <br /> municipal corporation of the State of California, hereinafter <br /> referred to as "City", and DOUGLAS MCCLOUD, 148 E1 Caminito, <br /> Livermore, California 94550, hereinafter referred to as <br /> "Contractor". <br /> <br /> WITNESSETH: <br /> <br /> WHEREAS, the City has a large amount of construction activity <br /> relating to waterworks at the present time, including <br /> construction of two water reservoirs totaling 9.8 million <br /> gallons of storage capacity; and <br /> <br /> WHEREAS, the Contractor has unique expertise in water <br /> transmission, storage and distribution systems having worked with <br /> water systems for 28 years; and <br /> <br /> WHEREAS, Contractor is qualified to work independently of <br /> direct supervision to assure compliance with project plans and <br /> specifications; and <br /> <br /> WHEREAS, City anticipates the project schedules and need or <br />inspection are so varied that they render a flat fee bid price <br />unworkable at this time; and <br /> <br /> WHEREAS, City considers this to justify a contract based on <br />time and materials; <br /> <br /> NOW, THEREFORE, in consideration of the mutual covenants, <br />agreements, and conditions herein, the parties hereto do agree as <br />follows: <br /> <br /> 1. Contractor's Services. Contract'or shall diligently <br />perform the services and furnish the materials and equipment <br />hereinafter set forth. <br /> <br /> a. Provide public works inspection services on water <br /> works projects as are assigned by the'City <br /> Engineer, or his designated representative <br /> including keeping adequate notes and records. <br /> <br /> b. Provide adequate transportation to travel as <br /> necessary to and from all job assignments along <br /> with evidence of insurance coverage satisfactory to <br /> the City Attorney. <br /> <br /> 2. Ownership of Work. All notes, reports, and records <br />prepared by the Contractor under this contract shall be <br />considered the property of the City of Pleasanton, and upon <br />request, at the completion of the services to be performed, they <br />will be turned over to the City of Pleasanton. <br /> <br /> - 1 - <br /> <br /> <br />
