provide and maintain the Tower, in accordance with the most recent standards consistent <br />with radio industry practice. The City and Pleasanton shall be liable for all basic upkeep <br />and maintenance of the Tower up to and including retrofitting and replacement of proper <br />grounding, cable routing practices, and shelter conditions, except that nothing in this Lease <br />Agreement shall cause the City or Pleasanton to make any modifications to the Tower or <br />the Property solely for the benefit of Zone 7 or for Zone 7 to install its Antenna or <br />Equipment at the Antenna Site or Premises. <br />6.2 The City and Pleasanton warrant and covenant that: <br />(a) The City has the legal right to possession of the Property, and both the City <br />and Pleasanton have legal right to possession of the Tower, and together they have the <br />power and the right to enter into this Lease Agreement, and that Zone 7 upon the faithful <br />performance of all of the terms, conditions, and obligations of Zone 7 contained in this <br />Lease Agreement, shall peaceably and quietly hold and enjoy the Leased Areas <br />throughout the term of this Lease Agreement and any extensions of it; <br />(b) The City and Pleasanton shall deliver the Leased Areas to Zone 7 clean and <br />free of debris on the commencement date and shall maintain the Property in a manner <br />which will not interfere with Zone 7's use of the Leased Areas as contemplated in this <br />Lease Agreement; <br />(c) Zone 7 may, at its own expense, install or have installed any and all required <br />service utility connections necessary for the operation of the Antenna or Equipment, on the <br />Tower and/or Premises subject to the provisions of sections 2.2(d), 4.3 and other such <br />other requirements regarding the construction of buildings, structures and improvements <br />on the Leased Areas, provided the utility connections do not interfere with the use of the <br />Property and Tower; and, <br />(d) The City and Pleasanton shall during the term of this Lease Agreement pay <br />all real property taxes and special assessments levied against the Property and Tower <br />which either the City or the City and Pleasanton has the duty to pay, within the time allowed <br />by the taxing authorities in order to avoid penalty, except for any taxes related to Zone 7's <br />lease and use of the Leased Areas which shall be paid by Zone 7 as provided in section 12 <br />below. <br />7. Use <br />7.1 Use of Leased Areas. Zone 7, and its successors and assigns, shall only use the <br />Leased Areas to install, operate, and maintain the Antenna and Equipment for the <br />operation of a SCADA Communications Network for the benefit Zone 7, and shall comply <br />with the applicable scenic corridor standards. The Antenna and any appurtenant items <br />shall not be permanently attached to the Tower or affixed in any manner which <br />compromises the integrity of the Tower. <br />7.2 Clearance for Access. Access to the Leased Areas shall be obtained by request to <br />the City of Livermore Water Resources Division at (925) 960-8100 with a 24-hour advance <br />Lease Agreement -Zone 7 Page 5 <br />
