Consent to any assignment shall not constitute a further waiver of the provisions of this <br />section. <br />11.2 Involuntary Assignment. No interest of Zone 7 in this Lease Agreement shall be <br />assignable by operation of law, including, without limitation, the transfer of this Lease by <br />testacy or intestacy. Each of the following acts shall be considered an involuntary <br />assignment: <br />(a) If Zone 7is or becomes bankrupt or insolvent, makes an assignment for the <br />benefit of creditors, or institutes a proceeding under the Bankruptcy Act in which Zone 7is <br />the bankrupt; or, if Zone 7 is a partnership or consists of more than one person or entity, if <br />any partner of the partnership or other person or entity is or becomes bankrupt or insolvent, <br />or makes an assignment for the benefit of creditors; <br />(b) If a writ of attachment or execution is levied on this Lease Agreement; <br />(c) If, in any proceeding or action to which Zone 7 is a party, a receiver is <br />appointed with authority to take possession of the Leased Areas. <br />An involuntary assignment shall constitute a default by Zone 7 and City shall have the right <br />to elect to terminate this Lease Agreement, in which case this Lease shall not be treated as <br />an asset of Zone 7. <br />If a writ of attachment or execution is levied on this Lease Agreement, Zone 7 shall have <br />ten (10) days in which to cause the attachment or execution to be removed. If any <br />involuntary proceeding in bankruptcy is brought against Zone 7, or if a receiver is <br />appointed, Zone 7 shall have sixty (60) days in which to have the involuntary proceeding <br />dismissed or the receiver removed. <br />12. Taxes <br />Zone 7 recognizes and understands that this Lease Agreement may create a real property <br />possessory interest tax that may subject the Zone 7 to real property taxes. <br />Prior to delinquency, Zone 7 shall pay all taxes, including possessory taxes, assessments <br />and other governmental charges, general and special, ordinary and extraordinary, of any <br />kind and nature whatsoever applicable to its lease and occupancy of the Leased Areas, <br />including such taxes which are attributable to any alteration, expansion, modification, <br />structural change, addition, remodeling and other improvement to the Leased Areas by <br />Zone 7, and all personal property taxes. <br />Zone 7is not required to pay personal property taxes for property incurred by City or <br />Pleasanton as a result of their ownership of the Property and/or Tower. <br />13.
