REIMBURSEMENT AGREEMENT <br /> <br /> THIS AGREEMENT is made and entered into this day of <br /> , 1985, by and between THE PRUDENTIAL INSURANCE <br />COMPANY OF AMERICA, a New Jersey corporation, and CALLAHAN-PENTZ <br />PROPERTIES, PLEASANTON, a California general partnership <br />(hereinafter collectively referred to as "Hacienda"), and THE <br />CITY OF PLEASANTON, a municipal corporation (hereinafter referred <br />to as "City" ) . <br /> <br /> RECITALS <br /> <br /> A. City contracted with DKS Associates ("DKS") to prepare <br />the Pleasanton/Dublin Transit Study to explore the feasibility of <br />establishing a local transit system serving Pleasanton and <br />Dublin, including potential ridership, routes, and so forth. <br /> <br /> B. Upon completion of the Pleasanton/Dublin Transit Study, <br />Hacienda urged the City to augment the study in order to assess <br />ridership generated by developing employment centers in <br />Pleasanton, including Hacienda's Hacienda Business Park, and <br />offered to pay for the additional study. <br /> <br /> C. City entered into an agreement dated October 30, 1984, <br />with DKS to perform the additional study. The agreement has been <br />modified by letter agreements dated December 21, 1984 and <br />February 19, 1985. The total cost of the study, as modified, is <br />$19,050. <br /> <br /> D. The purpose of this Agreement is to set forth the <br />understanding of the parties relating to Hacienda's reimbursing <br />the City for the costs of the additional transit study. <br /> <br /> THE PARTIES HEREBY AGREE AS FOLLOWS: <br /> <br /> 1. Hacienda shall pay for all City costs incurred pursuant <br />to the agreement between the City and DKS dated October 30, 1984, <br />and as said agreement has been and may be modified from time to <br />time (the "DKS Agreement"). Hacienda shall pay City within <br />thirty (30) days of receipt of a written request from the City <br />for reimbursement of costs the City has incurred pursuant to the <br />DKS Agreement. <br /> <br /> 2. City shall not modify the DKS Agreement in any manner <br />which would increase the cost to the City without first receiving <br />approval from Hacienda. <br /> <br /> 3. If either party commences an action against the other to <br />enforce or interpret this Agreement, the prevailing party shall <br />be entitled to have and recover reasonable attorney's fees and <br />costs of suit from the party not prevailing. <br /> <br /> - 1 - <br /> <br /> <br />
